- +["The elected GPC Fund Representative shall be appointed by the Board as a Director of the Fund at the first opportunity. A Director position on the Fund Board will be held for the Fund Representative. The term of that Director’s position shall coincide with the incumbent’s term as Fund Representative. The Fund Representative is responsible for keeping the Fund Board and Federal Council informed of each other’s work, including a fiduciary responsibility to not withhold information from the Board that is material to the Fund’s operations. The Fund Representative does not vote in Fund Board elections or at the Fund AGM. Notwithstanding other provisions of this By-law, should the position of Fund Representative be vacated or the Director be subject to removal for reasons set out in this By-law, the Green Party of Canada Federal Council will be responsible for filling the vacancy. Until such time as the vacancy is filled, the Director acting as Chair of the Board shall assume the Fund Representative’s responsibilities of liaising with Federal Council. This position shall not be remunerated for their services, provided that for the purposes of this Article, they are entitled to have reimbursed any cost incurred by them in performance of their duties and to receive an annual honorarium as determined by the Board and provided for in the budget.", ["Représentant du Fonds. Le représentant élu du Fonds GPC est nommé par le conseil d'administration en tant qu'administrateur du Fonds à la première occasion. Un poste d'administrateur au sein du conseil d'administration du Fonds sera réservé au représentant du Fonds. La durée du mandat de cet administrateur coïncide avec celle du mandat du représentant du Fonds. Le représentant du Fonds est chargé de tenir le conseil d'administration du Fonds et le conseil fédéral informés de leurs travaux respectifs. Il a notamment la responsabilité fiduciaire de ne pas dissimuler au conseil d'administration des informations importantes pour les activités du Fonds. Le représentant du Fonds ne vote pas lors des élections du conseil d'administration du Fonds ni lors de l'assemblée générale annuelle du Fonds. Nonobstant les autres dispositions du présent règlement, si le poste de représentant du Fonds devient vacant ou si le directeur fait l'objet d'une révocation pour les raisons énoncées dans le présent règlement, le Conseil fédéral du Parti vert du Canada sera chargé de pourvoir le poste vacant. Jusqu'à ce que la vacance soit comblée, le directeur agissant en tant que président du conseil d'administration assumera les responsabilités du représentant du Fonds en matière de liaison avec le Conseil fédéral. Ce poste ne sera pas rémunéré pour ses services, étant entendu qu'aux fins du présent article, il a droit au remboursement de tous les frais encourus dans l'exercice de ses fonctions et à des honoraires annuels déterminés par le conseil d'administration et prévus dans le budget."]]
